Engagement
Each engagement begins with a signed statement of work (SOW). The SOW defines scope, timeline, deliverables, pricing, and acceptance criteria. These terms govern all engagements unless explicitly overridden in writing in the SOW.

Each engagement begins with a signed statement of work (SOW). The SOW defines scope, timeline, deliverables, pricing, and acceptance criteria. These terms govern all engagements unless explicitly overridden in writing in the SOW.
Fixed-price rebuilds are invoiced 50% on signature, 50% on launch. Retainers are invoiced monthly in advance. Payment terms: net 14 days. Late payments incur statutory interest under Dutch law.
On full payment, the client owns the source code, designs, and content delivered under the engagement. Oravita retains the right to reference the work publicly (case studies, portfolio) unless the SOW specifies otherwise.
Third-party libraries and platforms remain the property of their respective owners under their respective licenses.
We commit to specific Core Web Vitals targets and Lighthouse scores in each SOW. If launch metrics fall short of the named targets, we will continue performance work without additional fee until they are met.
Performance after launch depends on third-party scripts, content choices, and infrastructure outside our control. Ongoing tuning is covered under retainers, not under the original build SOW.
Our total liability under any engagement is capped at the fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or revenue-related losses.
Nothing in these terms limits liability for fraud, willful misconduct, or anything that cannot be limited under Dutch law.
Either party may terminate a retainer with 30 days written notice. Fixed-price rebuilds may be terminated for cause; in that case, work completed to date is billable on a time-and-materials basis at our standard rate.
These terms are governed by Dutch law. Disputes that cannot be resolved by negotiation are submitted to the competent court in the Netherlands.
